1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of the website at impactedge.ai (the "Site") and the enterprise sustainability performance platform and related services offered by Peak Impact Management LLC operating under the ImpactEdge brand ("Peak Impact Management," "ImpactEdge," "we," "us," or "our"), including Impact Ops, Impact Intelligence, Impact Performance, IMPACT-XD™, and ATHENE AI™ (collectively, the "Services").

By accessing or using the Site or Services, or by opting in to receive text messages from us, you ("you" or "User") agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not access or use the Site or Services.

2. Eligibility and Age Restriction

You must be at least 18 years old to use the Site or Services, to provide personal information through any form, or to opt in to receive text messages from us. By using the Site or Services, you represent and warrant that:

• You are at least 18 years of age.

• You have the legal capacity to enter into these Terms.

• If you are accessing the Services on behalf of an organization, you have the authority to bind that organization to these Terms.

• Your use of the Site and Services will comply with these Terms and all applicable laws.

3. Accounts and Access

Certain features of the Services require an account. You are responsible for safeguarding your credentials and for all activity under your account. You agree to notify us immediately at [email protected] of any unauthorized access or security breach. We may suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

• Use the Site or Services in any unlawful, fraudulent, or harmful manner.

• Interfere with or disrupt the Site, Services, servers, or networks, or attempt to gain unauthorized access to any system or data.

• Reverse engineer, decompile, or attempt to extract source code from the Services, except to the extent applicable law permits.

• Upload viruses, malware, or other harmful code.

• Scrape, harvest, or collect information from the Site by automated means without our prior written consent.

• Use the Services to compete with Peak Impact Management or ImpactEdge or to build a competing product.

• Misrepresent your identity, affiliation, or authority.

5. SMS / Text Messaging Program

These SMS terms apply if you opt in to receive text (SMS/MMS) messages from ImpactEdge (operated by Peak Impact Management LLC). By opting in, you agree to these terms.

5.1 Description of the SMS Program

Through our SMS program, Peak Impact Management LLC (operating under the ImpactEdge brand) sends informational, transactional, and (where you have opted in) marketing text messages relating to our Site and Services. Typical use cases include:

• Demo and meeting communications: scheduling confirmations, reminders, reschedule notices, and follow-ups after a demo or briefing.

• Account and security: verification codes, login alerts, password resets, and security notices.

• Service notifications: platform outages, maintenance windows, feature releases, and important service updates.

• Customer support: responses to support requests and follow-up on open tickets.

• Marketing (opt-in only): event invitations, webinar reminders, product announcements, sustainability insights, and other marketing content where you have separately opted in.

5.2 Opt-In

You may opt in to the SMS program by:

• Submitting your mobile number through a form on the Site and checking the SMS consent checkbox;

• Texting a keyword (such as JOIN or START) to a number we provide; or

• Providing your mobile number to a Peak Impact Management representative and confirming consent in writing.

By opting in, you represent that you are at least 18 years old and that you are the subscriber of, or are authorized to use, the mobile phone number you provide.

5.3 How to Opt Out — Reply STOP

You can cancel the SMS service at any time by texting STOP to the number from which you received the message. You may also reply END, CANCEL, UNSUBSCRIBE, or QUIT.

After you send STOP, we will send you a one-time confirmation message acknowledging your opt-out, and you will no longer receive marketing SMS messages from us. If you want to rejoin the program, sign up as you did the first time, and we will resume sending messages.

5.5 Message Frequency, Message and Data Rates, and Carrier Disclaimer

Message frequency varies based on your interactions with us and the categories of messages to which you have opted in. You may receive recurring messages.

Message and data rates may apply. Any charges for messages are billed by, and payable to, your mobile service provider. Please contact your wireless carrier for pricing plans, message rates, and data rates that apply.

Carriers — including but not limited to AT&T, T-Mobile, Verizon Wireless, Sprint, U.S. Cellular, Boost, MetroPCS, Cricket, Google Voice, and their affiliates — are not liable for delayed or undelivered messages. Peak Impact Management LLC and its mobile carriers are not responsible for any delays in the receipt of any SMS messages, as delivery is subject to effective transmission by your mobile carrier and within the coverage area.

5.6 Supported Carriers

Our SMS program is generally compatible with major U.S. wireless carriers. T-Mobile is not liable for delayed or undelivered messages. Carrier support, coverage, and message delivery may vary, and we cannot guarantee delivery on every network.

5.7 Privacy and No Sharing of SMS Opt-In Information

Your privacy is important to us. We will not share mobile information, phone numbers, or SMS opt-in consent with third parties or affiliates for marketing or promotional purposes. SMS originator opt-in data and consent are not shared with any third party for any purpose other than to deliver the messages you have requested.

6. Intellectual Property

The Site, the Services, and all software, content, text, graphics, logos, designs, trademarks, and other materials are owned by Peak Impact Management LLC or its licensors and are protected by intellectual property laws. ImpactEdge™, the ImpactEdge logo, IMPACT-XD™, ATHENE AI™, Impact Ops, Impact Intelligence, Impact Performance, and Sustainability Business Value Framework™ are trademarks of Peak Impact Management LLC. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and the Services solely for their intended purpose, subject to these Terms.

7. Customer Content and Data

You retain ownership of any data, content, or materials you submit, upload, or generate through the Services ("Customer Content"). You grant Peak Impact Management LLC a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Customer Content solely to provide and improve the Services. You represent that you have all necessary rights and consents to provide Customer Content to us.

8. Third-Party Services and Links

The Site and Services may contain links to, or integrations with, third-party websites, applications, IoT devices, or services. We are not responsible for the content, privacy practices, or availability of any third-party properties. Your use of third-party services is at your own risk and is governed by the terms and policies of those third parties.

9. Disclaimers

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, PEAK IMPACT MANAGEMENT LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY SUSTAINABILITY, ESG, REGULATORY, OR FINANCIAL INSIGHTS GENERATED BY THE SERVICES, INCLUDING BY ATHENE AI™, ARE PROVIDED FOR INFORMATIONAL PURPOSES AND DO NOT CONSTITUTE LEGAL, FINANCIAL, OR REGULATORY ADVICE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PEAK IMPACT MANAGEMENT LLC OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO PEAK IMPACT MANAGEMENT LLC FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Peak Impact Management LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to (a) your access to or use of the Site or Services, (b) your violation of these Terms, (c) your Customer Content, or (d) your violation of any third-party right, including any intellectual property or privacy right.

12. Termination

We may suspend or terminate your access to the Site or Services at any time, with or without notice, including for any violation of these Terms. Upon termination, the provisions that by their nature should survive — including ownership, disclaimers, limitations of liability, and dispute resolution — will continue to apply.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Maryland, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Montgomery County, Maryland, and you consent to the jurisdiction of those courts. The parties waive any right to a jury trial. Where required by law, nothing in these Terms limits your statutory rights as a consumer.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above. Material changes will be communicated through the Site or by email. Your continued use of the Site or Services after the changes take effect constitutes acceptance of the revised Terms.
